Terms & Conditions

The terms that apply when you use this website, and the general terms on which we supply software and services.

Last updated: 12 September 2026

1.About these terms

These terms and conditions govern your use of the website at kvcodes.com, operated by Kvcodes Software Solutions of 533, NRN Complex, 80-Feet Road (above Indian Bank), Karur, Tamil Nadu 639002, India, and set out the general terms on which we supply software and services.

By using this website you accept these terms. If you do not accept them, please do not use the site. Where we enter into a signed proposal, quotation, order form or service agreement with you, that document governs the engagement, and these terms apply only to the extent they do not conflict with it.

2.Using this website

You may use this website for lawful purposes only. You agree not to:

  • use it in any way that breaches applicable law or regulation;
  • attempt to gain unauthorised access to the site, its server, or any connected system;
  • introduce malware, or attempt to interfere with the site’s availability or integrity;
  • scrape, harvest or systematically extract content or contact details from the site;
  • submit false information through our forms, or use them to send unsolicited or abusive material.

We may suspend or withdraw access to the site, in whole or part, without notice. We do not guarantee that the site will always be available or uninterrupted.

3.Website content

The content on this site is provided for general information about our products and services. It does not constitute advice on which you should rely, and it is not an offer capable of acceptance. Product descriptions, screenshots, feature lists and interface illustrations are indicative; the functionality delivered in a specific engagement is the functionality set out in that engagement’s written scope.

We work to keep the site accurate and up to date, but we make no warranty that it is complete, current or free from error.

4.Intellectual property

All intellectual property rights in this website — its text, design, graphics, interface illustrations, logos and code — belong to Kvcodes or our licensors, and are protected by copyright and trade mark law. You may view and print pages for your own internal reference. You may not reproduce, republish, distribute or commercially exploit any part of it without our written permission.

“Kvcodes” and our product names, including TamilAccounting, Rezo, Fleey and EdgeBridge, are our marks. Third-party names and marks mentioned on this site belong to their respective owners and are used for identification only.

Ownership of intellectual property in work we deliver to a client is governed by that client’s agreement with us. Unless that agreement says otherwise, we retain ownership of our pre-existing materials, frameworks, libraries and product cores, and grant the client a licence to use them as part of the delivered system.

5.Software licences and third-party components

Our products and custom builds incorporate third-party and open-source components, each licensed under its own terms. Those terms continue to apply to those components, and nothing here overrides them. We identify the relevant licences on request.

Where we supply a licensed product, the licence is granted for the number of companies, sites, users or devices stated in the order, and is not transferable without our consent.

6.Services, quotations and change

Quotations are valid for 30 days unless stated otherwise and are based on the requirements described to us at the time. A contract is formed when you accept a quotation or proposal in writing, or when work begins with your authorisation.

Delivery timelines assume your timely provision of information, data, access, approvals and decisions. Requests that fall outside the agreed scope are handled as change requests: we will quote the effect on cost and timeline before proceeding.

You are responsible for the accuracy and legality of data you provide for migration, for obtaining any consents required for that data, and for reviewing and signing off delivered work within the agreed review period.

7.Fees and payment

Fees, milestones and payment terms are those stated in the applicable quotation, proposal or service agreement. Unless stated otherwise, fees are exclusive of applicable taxes, which are charged in addition at the prevailing rate.

Invoices are payable by the due date stated on them. We may suspend work or access to hosted services on materially overdue accounts, after notice. Recurring support, hosting and licence fees are payable in advance for each period and are non-refundable for a period already begun, except where we are at fault.

8.Warranty and support

We warrant that our services will be performed with reasonable skill and care, and that delivered software will materially conform to the agreed written scope. Where a warranty period is stated in the engagement, we will correct reported defects within it at no charge.

The warranty does not cover issues arising from modifications made by anyone other than us, use outside the documented environment or supported versions, third-party software or hardware, incorrect data supplied to the system, or failure to apply updates we have provided.

Support response times, if any, are those set out in the applicable support or maintenance agreement.

9.Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings, or loss or corruption of data, however arising. Our total aggregate liability in connection with an engagement is limited to the fees paid by you to us under that engagement in the twelve months preceding the event giving rise to the claim.

You remain responsible for maintaining your own backups and for verifying that data in any system is correct before relying on it for statutory, financial or operational purposes.

10.Confidentiality and data protection

Each party will keep the other’s confidential information confidential and use it only for the purposes of the engagement. This obligation continues after the engagement ends.

Our handling of personal information is described in our Privacy Policy. Where we process personal data on your behalf as part of a hosted or supported system, we do so on your documented instructions and in accordance with applicable data protection law.

11.Suspension and termination

Either party may terminate an engagement on written notice if the other commits a material breach that is not remedied within 30 days of notice, or becomes insolvent.

On termination, you will pay for work performed and expenses committed up to the termination date. On request within 30 days of termination, we will provide an export of your data in a reasonable standard format; after that period we may delete it in accordance with our retention practices.

13.General

We may revise these terms at any time by updating this page; the version in force is the one published here when you use the site. If any provision is found to be unenforceable, the remaining provisions continue in full effect. A failure to enforce a right is not a waiver of it.

Neither party is liable for failure to perform caused by events beyond its reasonable control, including network or power failure, acts of government, or natural events.

14.Governing law and jurisdiction

These terms and any dispute arising out of them or their subject matter are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts of Tamil Nadu, India.
